Referral Program

Program Overview

Flipmax may offer a referral program that allows existing users to refer new borrowers or brokers to the Service. The terms and incentives of the referral program are determined by Flipmax in its sole discretion and may be modified or discontinued at any time.

Referrer and Referred Eligibility

Both the referrer and the referred party must meet all eligibility requirements to participate. Real estate agents or brokers participating as referrers must hold all required licenses in their respective jurisdictions.

How to Refer

Referrals may be submitted via email, phone, or through any designated referral form on the Site. You must have the consent of the person you are referring before providing their contact information to Flipmax.

Referral Rewards

The type and amount of referral incentives are determined by Flipmax at its sole discretion. Only one person may earn a referral reward per referred user. Flipmax reserves the right to withhold, suspend, or revoke referral rewards if it determines, in its sole discretion, that a referral is fraudulent, erroneous, or otherwise violates these Terms.

Commercial Use

Unless otherwise expressly authorized herein or by Flipmax in writing, you agree not to display, distribute, license, perform, publish, reproduce, duplicate, copy, create derivative works from, modify, sell, resell, exploit, transfer, or upload for any commercial purposes, any portion of the Service, use of the Service, or access to the Service.

User Disputes

You are solely responsible for your interactions with other users. Flipmax reserves the right, but has no obligation, to monitor disputes between you and other users. Flipmax shall have no liability for your interactions with other users, or for any user's action or inaction.

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. FLIPMAX DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE.

FLIPMAX DOES NOT GUARANTEE THAT ANY LOAN APPLICATION WILL BE APPROVED OR THAT ANY SPECIFIC TERMS WILL BE OFFERED. ALL LOAN PRODUCTS ARE SUBJECT TO CREDIT AND PROPERTY APPROVAL AND ARE NOT GUARANTEED.

FLIPMAX PROVIDES COMMERCIAL, BUSINESS-PURPOSE FINANCING FOR REAL ESTATE INVESTMENT ONLY. LOANS ARE NOT FOR PERSONAL, FAMILY, HOUSEHOLD, OR OWNER-OCCUPIED USE.

Limitation on Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL FLIPMAX, ITS OFFICERS, DIRECTORS, MEMBERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM: (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; (C) ANY CONTENT OBTAINED FROM THE SERVICE; OR (D) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.

IN NO EVENT SHALL FLIPMAX'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE USE OF THE SERVICE EXCEED THE GREATER OF ONE THOUSAND DOLLARS ($1,000.00) OR THE AMOUNT YOU HAVE PAID FLIPMAX IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Governing Law; Venue and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia, without regard to its conflict of law provisions. You agree to submit to the personal and exclusive jurisdiction of the state and federal courts located in the Commonwealth of Virginia for the resolution of any disputes arising out of or relating to these Terms or the Service.

Arbitration; Waiver of Jury Trial and Class Action Rights

Any dispute, controversy, or claim arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate, shall be determined by arbitration administered by the American Arbitration Association ("AAA") in accordance with its Commercial Arbitration Rules. The arbitration shall be held in the Commonwealth of Virginia.

YOU AND FLIPMAX EACH WAIVE THE RIGHT TO A JURY TRIAL AND THE RIGHT TO PARTICIPATE IN A CLASS ACTION, COLLECTIVE ACTION, PRIVATE ATTORNEY GENERAL ACTION, OR OTHER REPRESENTATIVE PROCEEDING OF ANY KIND.

Indemnity

You agree to defend, indemnify, and hold harmless Flipmax, its officers, directors, members, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including attorneys' fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party right, including any intellectual property, privacy, or proprietary right; or (d) any claim that your content caused damage to a third party.

USA PATRIOT Act Notice

To help the government fight the funding of terrorism and money laundering activities, federal law requires all financial institutions to obtain, verify, and record information that identifies each person who opens an account. When you apply for a loan or open an account, we will ask for your name, address, date of birth, and other information that will allow us to identify you. We may also ask to see identifying documents.

General Provisions

These Terms constitute the entire agreement between you and Flipmax regarding the use of the Service. Our failure to exercise or enforce any right or provision of these Terms shall not operate as a waiver of such right or provision. If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect. These Terms are not assignable, transferable, or sublicensable by you except with Flipmax's prior written consent.
